The terms that govern your use of StructureFlow.
1. Who We Are
StructureFlow LLC operates StructureFlow, available at structureflow.finance. StructureFlow is a financial technology company. It is not a bank, and it does not take deposits. Balances held in connection with your account are not bank deposits.
StructureFlow is a separate company from Structure Wealth Partners LLC. Structure Wealth Partners LLC is a state-registered investment advisor. StructureFlow does not provide investment, tax, or legal advice.
2. What StructureFlow Does
StructureFlow lets eligible businesses and individuals send money across borders. When you submit a transfer, we convert your funds and deliver them to the recipient you specify. We are the company responsible for your experience. Some parts of the service — such as identity checks and payment processing — are handled by third-party partners on our behalf.
3. Who Can Use StructureFlow
To open an account, you must:
- Be at least 18 years old.
- Be a legal resident of, or a business registered in, a country or US state that StructureFlow serves.
- Have the legal authority to send the funds you submit.
- Not be prohibited from using financial services under any applicable law.
We may ask you to confirm your eligibility at any time. If you do not meet these requirements, do not open an account.
4. Opening an Account
Providing accurate information. When you register, you must provide true, complete, and current information about yourself or your business. You must update this information if it changes.
Identity verification. We are required by law to verify your identity and, for businesses, the identity of your beneficial owners. To do this, we — and our verification partners — will collect and review identity documents, business registration records, and other information. We may decline to open an account, or close an existing account, if we cannot complete verification or if we have concerns about the information provided.
One account per person or business. You may not open more than one account for the same individual or business without our written permission.
5. What You Can Use StructureFlow For
You may use StructureFlow to send your own funds — or funds you are legally authorized to send on behalf of your business — to a recipient you specify.
You may not use StructureFlow to:
- Provide money-transmission services to other people or businesses. StructureFlow is not a platform for you to move money on behalf of third parties.
- Send money for illegal purposes, including tax evasion, fraud, or financing prohibited activities.
- Circumvent sanctions or export controls under US law or the laws of any country where we operate.
- Launder money or process funds from illegal sources.
- Violate any other law that applies to you.
We may suspend or close your account and report activity to regulators if we believe you have violated these rules.
6. Fees
We charge a fee on transfers. The exact fee for each transfer is shown to you on screen before you confirm the transfer. You will also see the exchange rate that will apply. You must confirm the transfer before we process it. By confirming, you agree to the fee and exchange rate shown.
Fees may change over time. We will notify you of changes as described in Section 12.
7. Transfer Timing
We aim to complete transfers within the timeframe shown to you at the time of confirmation. However, actual timing depends on factors we do not fully control, including:
- The receiving institution's processing schedule.
- Public holidays in the sending or receiving country.
- Compliance or verification holds.
- Technical issues at third-party partners.
We are not responsible for delays caused by third parties. If a transfer takes significantly longer than expected, contact us at flow@structureflow.finance.
8. Your Responsibilities
Accuracy of recipient details. You are responsible for entering the correct recipient name, account number, and any other details required for delivery. We process transfers using the details you provide. If you provide incorrect details, the transfer may be sent to the wrong person or account. We may not be able to recover those funds. See the Refund & Cancellation Policy for more detail.
Security of your account. You are responsible for keeping your login credentials, PIN, and any one-time verification codes confidential. Do not share them with anyone. If you believe your account has been compromised, contact us immediately at flow@structureflow.finance. You are responsible for any transfers submitted using your credentials before you report a compromise to us.
9. Suspension and Termination
By us. We may suspend or close your account at any time if:
- We are required to do so by law or regulation.
- We believe you have violated these Terms.
- We are unable to verify your identity.
- We determine that continued access poses a risk to us or others.
We will try to give you advance notice unless the law or a risk to others prevents us from doing so.
By you. You may close your account at any time by contacting us at flow@structureflow.finance. We will return any remaining balance to you, subject to verification and any applicable legal holds, as described in the Refund & Cancellation Policy.
10. Limits of Liability and Disclaimer
The service is provided as-is. We do our best to provide a reliable service, but we make no promise that the service will be uninterrupted, error-free, or available in every location at all times.
Our liability is limited. To the maximum extent allowed by law, StructureFlow LLC's total liability to you for any claim arising from your use of StructureFlow is limited to the fees you paid on the transfer that is the subject of the claim. We are not liable for any indirect, incidental, or consequential losses, including loss of business, lost profits, or reputational harm.
Nothing in these Terms limits liability for fraud, gross negligence, or any other matter that cannot be excluded by law.
11. Disputes and Governing Law
Contact us first. If you have a problem, please contact us at flow@structureflow.finance. We want to resolve issues directly and quickly.
Governing law. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules.
Arbitration. If we cannot resolve a dispute informally, both parties agree to resolve it through binding individual arbitration under the rules of a recognized arbitration body in Florida. You and we each waive the right to a jury trial. You may only bring claims in your individual capacity, not as part of a class.
This arbitration clause does not prevent you from filing a complaint with a government regulator.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the new version at structureflow.finance and notify you by email at least 14 days before the changes take effect for material changes. Your continued use of StructureFlow after that date means you accept the new Terms. If you do not accept the changes, you must close your account before they take effect.
